Terms of Service

These Terms of Service ("Terms") govern your access to and use of the DepotLite platform and related services ("Service") operated by Zitrino Innovative Solutions Pvt Ltd ("Company," "we," "us," or "our"), a company registered in India. By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing the platform, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

DepotLite is a cloud-based container depot management platform that provides:

• Container lifecycle management (gate-in, survey, estimation, repair, gate-out)
• EDI CODECO EDIFACT integration for electronic data interchange with shipping lines
• Real-time reporting and analytics (stock reports, DMR, LOLO, dwell time)
• GST-compliant invoicing and billing
• Workflow automation via integrated scheduling engines
• AI-powered agents for natural language queries and operational intelligence
• Integration capabilities for third-party systems
• WhatsApp and SMS notification services

We reserve the right to modify, update, or discontinue features of the Service at any time. We will provide reasonable notice of any material changes that affect your use of the Service.

3. User Accounts

To access the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring that all users under your organization comply with these Terms

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or unlawful activities.

4. Subscription and Payment

The Service is offered on a subscription basis with the following terms:

• Subscription fees are billed monthly or annually in advance, depending on your chosen billing cycle.
• All prices are in USD unless otherwise specified. Applicable taxes (including GST for Indian customers) will be added.
• Free trials, when offered, provide full access to the plan features for the specified trial period. No payment is required during the trial.
• You may upgrade or downgrade your plan at any time. Upgrades take effect immediately; downgrades take effect at the next billing cycle.
• Refunds are provided on a case-by-case basis at our sole discretion.
• Failure to pay fees may result in suspension or termination of access to the Service.

5. Intellectual Property

The Service, including all software, algorithms, designs, documentation, trademarks, and content, is the exclusive property of Zitrino Innovative Solutions Pvt Ltd and is protected by applicable intellectual property laws. You agree that:

• You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription term.
• You shall not copy, modify, reverse engineer, decompile, or create derivative works of the Service.
• You shall not remove or alter any proprietary notices, labels, or marks on the Service.
• No rights or licenses are granted to you by implication or otherwise, except as expressly stated in these Terms.

6. Your Data

You retain all rights to the data you upload, create, or generate through the Service ("Your Data"). By using the Service, you grant us a limited license to process Your Data solely for the purpose of providing and improving the Service.

• You are solely responsible for the accuracy, quality, and legality of Your Data.
• You represent that you have all necessary rights and consents to upload Your Data to the Service.
• We will not access, use, or disclose Your Data except as necessary to provide the Service, as described in our Privacy Policy, or as required by law.
• You may export Your Data at any time through the platform or by contacting support.
• Upon termination, Your Data will remain accessible in read-only mode for 90 days, after which it will be permanently deleted unless you request an extension.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service or its infrastructure
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service for any purpose other than legitimate container depot management operations
• Resell, sublicense, or provide access to the Service to unauthorized third parties

8. Service Availability and SLA

We strive to maintain high availability of the Service. For Enterprise customers with SLA agreements, specific uptime guarantees (typically 99.9%) and remedies are defined in the separate Service Level Agreement. For all other plans, the Service is provided on a commercially reasonable best-effort basis. Scheduled maintenance windows will be communicated in advance.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.
• We disclaim all warranties including, without limitation, warranties of merchantability, fitness for a particular purpose, and non-infringement.
• In no event shall our total liability exceed the amount paid by you for the Service in the twelve (12) months preceding the claim.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

10. Indemnification

You agree to indemnify and hold harmless Zitrino Innovative Solutions Pvt Ltd, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate the subscription:

• You may cancel your subscription at any time through the platform. Cancellation takes effect at the end of the current billing period.
• We may terminate or suspend your account immediately if you breach these Terms, fail to pay fees, or engage in activities that harm the Service or other users.
• Upon termination, your right to use the Service ceases. Data retention and export provisions outlined in Section 6 shall survive termination.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in India. Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good faith negotiation for a period of thirty (30) days.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms. If you do not agree with the updated Terms, you must stop using the Service.

14. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy and any applicable SLA, constitute the entire agreement between you and the Company.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of that or any other provision.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force Majeure: Neither party shall be liable for any failure to perform due to circumstances beyond their reasonable control, including natural disasters, pandemics, government actions, or infrastructure failures.
